Process record

Prepared with a process record — exposed without one

Directors are judged on process as much as outcomes. Courts and counterparties ask what you reviewed, who was conflicted, what evidence closed the vote, and whether oversight systems existed. A board that keeps that record feels prepared. A board that cannot produce it feels exposed — not because software is magic, but because memory and email threads are a weak defense of process.

Prepared doesn't make your decisions. It keeps the record that shows how you made them.

With a documented process

  • You can show materials were published before a material vote — not reconstructed later.
  • Recusals, related-party tags, and closure evidence sit on the decision record.
  • Policy acknowledgments, attendance, risk reviews, and board-proof summaries are countable.
  • Investors, auditors, and counsel can request a diligence snapshot or board-proof link.

Without a process record

  • You may not be able to show what the board reviewed before a major vote.
  • Conflicts may live only in conversation — not on the decision.
